Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Photographer," or "Studio") and Filmroll ("Company," "we," "us," or "our"), the operator of Filmroll ("Platform"), a SaaS-based photo storage and sharing service. By registering an account, uploading content, or otherwise accessing the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Content Policy, and Security Policy.

These Terms are governed by the laws of India, including the Information Technology Act, 2000 ("IT Act"), the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Digital Personal Data Protection Act, 2023 ("DPDP Act").

2. Eligibility and Account Registration

The Platform is intended solely for professional photographers, photography studios, and allied creative professionals. By registering, you represent that:

• You are at least 18 years of age.
• You are a registered business entity, sole proprietor, freelance photographer, or photography studio operating in a professional capacity.
• All information you provide during registration is accurate, current, and complete.
• You will maintain the security of your account credentials and are responsible for all activity under your account.

We reserve the right to refuse registration or terminate accounts that do not meet eligibility criteria or violate these Terms.

3. Description of Service

Filmroll provides cloud-based photo storage, organization, and sharing services designed for professional photographers and studios. The Platform allows users to upload, manage, and share photographs with clients and collaborators through secure, password-protected gallery links.

4. Billing and Payment (Pay-Per-Use / Storage)

The Platform operates on a pay-per-use and pay-per-storage model. You will be charged based on:

• The total volume of data stored on the Platform (measured in GB/TB per billing cycle).
• Additional usage-based actions will be published once we launch or product for Public use.

Payments are processed securely through our third-party payment gateway partners (Razorpay / Stripe). All applicable taxes, including Goods and Services Tax (GST) as required under Indian law, will be added to your invoice. You authorize us to charge your designated payment method for all applicable fees. Failure to pay may result in suspension or termination of your account and deletion of stored data after reasonable notice.

All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy. We reserve the right to modify pricing with 30 days' prior notice.

5. Intellectual Property

You retain full ownership of all photographs and content you upload to the Platform. By uploading content, you grant Filmroll a limited, non-exclusive, royalty-free license solely to host, store, process, and display your content for the purpose of providing the Platform's services to you. We will not use your photographs for any other purpose without your express written consent.

All Platform software, design, branding, trademarks, and proprietary technologies are the exclusive property of Filmroll and are protected under applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any Platform materials without our prior written permission.

6. User Responsibilities and Acceptable Use

You agree that you will not:

• Upload content that violates any applicable law, regulation, or third-party rights.
• Use the Platform for any unlawful, fraudulent, or abusive purpose.
• Attempt to reverse-engineer, hack, or interfere with the Platform's security or infrastructure.
• Share account credentials with unauthorized individuals.
• Upload malware, viruses, or any harmful code.
• Use the Platform to store or distribute content prohibited under our Content Policy.

7. Termination

You may terminate your account at any time by contacting us at support@filmroll.com. Upon termination, your access will be revoked and stored data will be deleted within 30 days, unless we are required to retain it by law.

We reserve the right to suspend or terminate your account immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or if continued service poses a legal or security risk.

8. Disclaimers and Limitation of Liability

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted service. We do not guarantee that the Platform will be error-free or that data loss will not occur.

To the fullest extent permitted by applicable Indian law, Filmroll's total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount you paid to us in the three (3) months preceding the claim.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

10. Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent in-Platform notice at least 15 days before taking effect. Your continued use of the Platform after such notice constitutes acceptance of the revised Terms.
